The Management Board of Image Power S.A. with its registered office in Warsaw [hereinafter: the Company, the Issuer] hereby announces that on November 5, 2025, an agreement was concluded between the Issuer and Mr. Marcin Zaleński, President of the Management Board and shareholder of the Company, holding, as at the date of publication of this announcement, 57.93% [in words: fifty-seven and ninety-three hundredths percent] of the share capital and votes at the Issuer’s general meeting, a co-publishing agreement was concluded for the production and marketing of the game in versions for PC, Xbox, and PlayStation [hereinafter referred to as: Co-publisher, Agreement, Game, respectively]. The title of the Game will be disclosed by the Company at a later date.
Under the Agreement, the Co-publisher will invest PLN 100,000.00 [in words: one hundred thousand zlotys] [hereinafter: the Invested Amount]. After the release of the Game, until the entire Invested Amount has been repaid, the Co-publisher will receive 100% [in words: one hundred percent] of the net revenue from the sale of the Game [i.e. after deduction of taxes and distribution platform commissions]. After the full Invested Amount has been repaid, the Co-publisher will receive 10% [in words: ten percent] of the net revenue from the sale of the Game. All copyrights to the Game shall be vested exclusively in the Issuer.
In accordance with the Agreement, the Game will be released by September 1, 2026. Any release of the Game after the above date will be possible after obtaining the Publisher’s consent. The Company will release the Game independently or through an external publisher. The remaining terms of the Agreement do not differ from the standards applied to this type of agreement.
The Issuer’s Management Board decided to publish the above information due to the fact that it may have a significant impact on the Issuer’s financial and asset situation and a potentially significant impact on the valuation of the Issuer’s financial instruments listed in the alternative trading system.
